2. Service Description

Kubeadapt, operated by Kubeadapt Inc., provides a Kubernetes cost optimization platform that helps organizations monitor and optimize their Kubernetes infrastructure costs. Our services include:

• Resource optimization recommendations
• Workload rightsizing
• Best practice implementation guidance
• Capacity planning and infrastructure visualization

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate account information
• Maintain the security of your account credentials
• Use the service in compliance with applicable laws
• Not attempt to circumvent any service limitations or restrictions
• Not use the service for any illegal or unauthorized purpose

We do not currently offer uptime credits. If we fail to meet our availability targets, your remedy is to contact support or terminate your subscription.

All content, features, and functionality of our service are owned by Kubeadapt and are protected by international copyright, trademark, and other intellectual property laws.

7. Subscription and Billing

8. Termination

Either party may terminate the service agreement. We may terminate or suspend access immediately for violations of these terms. You may terminate your subscription at any time through your account settings.

9. Limitation of Liability

Kubeadapt shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service.

10. Warranty Disclaimer

Our services are provided on an 'AS IS' and 'AS AVAILABLE' basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Data Ownership

You retain all ownership rights to your data. We do not claim any intellectual property rights over the data you submit to our platform. Analysis results and recommendations are derived works provided as part of the service.

12. Trial and Free Tier

We may offer free trials or a free tier of our service.

• Free Trial: Trial periods are time-limited and may require a payment method on file. We will notify you before any charges begin.
• Free Tier: Free tier access is subject to usage limits and may be modified or discontinued at any time with reasonable notice.
• No Warranty: Trial and free tier services are provided without any warranty or support commitments.

13. Auto-Renewal and Cancellation

Subscription plans renew automatically unless cancelled.

• Renewal: Your subscription renews automatically at the end of each billing period at the then-current rate.
• Cancellation: You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• Refunds: We do not offer prorated refunds for unused portions of a billing period unless required by applicable law.
• Pricing Changes: We will provide at least 30 days notice before any price increase takes effect on your subscription.

14. Data Deletion on Termination

Upon termination of your account, we will retain your data for up to 90 days to allow for account recovery or data export. After this period, your data will be permanently deleted from our systems. You may request an export of your data at any time before deletion by contacting support.

15. Indemnification

You agree to indemnify, defend, and hold harmless Kubeadapt and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from your use of the service, your violation of these terms, or your violation of any rights of a third party.

16. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the service. This obligation survives termination of these terms for a period of two years. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

17. Governing Law

Before initiating any formal dispute, the parties agree to attempt resolution through good-faith negotiation for at least 30 days. If negotiation fails, disputes will be resolved through binding arbitration. You waive any right to participate in a class action lawsuit or class-wide arbitration.

18. Force Majeure

Neither party will be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, labor disputes, internet outages, or other events outside the affected party's reasonable control. The affected party will notify the other promptly and resume performance as soon as reasonably possible.

19. API and Integration Terms

Access to our API is subject to rate limits as documented in our developer documentation. We reserve the right to modify, deprecate, or discontinue API endpoints with reasonable notice. Excessive or abusive API usage may result in temporary or permanent access restrictions.

20. Export Compliance

You agree to comply with all applicable export control laws and regulations, including those of the United States and any other relevant jurisdiction. You represent that you are not located in, or a national of, any country subject to applicable trade sanctions or embargoes.

21. General Provisions

The following general terms apply to your use of the service:

• Entire Agreement: These terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and Kubeadapt regarding the service.
• Severability: If any provision of these terms is found unenforceable, the remaining provisions will continue in full force and effect.
• No Waiver: Failure to enforce any provision of these terms does not constitute a waiver of our right to enforce it in the future.
• Assignment: You may not assign your rights under these terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
